CNG Delivery Directory Membership Agreement

Welcome to CNG Delivery Directory! By accessing or using our services, you agree to comply with and be bound by the terms and conditions of this Membership Agreement (“Agreement”). This Agreement constitutes a legally binding contract between you (“Member”) and CNG Delivery Directory (“CNG Directory”).

1. Membership Services

CNG Delivery Directory provides a comprehensive platform for members to showcase and access natural gas delivery services. Membership benefits are outlined in the plan selected at the time of subscription and are subject to change.

2. Registration Information

Members must provide accurate and up-to-date registration information. Failure to do so may result in suspension or termination of your membership.

3. Minimum Age Requirement

All members must be at least 18 years of age to join the CNG Delivery Directory.

4. Membership Fees and Refunds

All memberships are billed quarterly. By subscribing, you agree to pay the fees associated with your plan.

4.1 Membership Fee Refund Policy

• If a paid membership is canceled within 3 days of the initial payment, a full refund will be issued.
• No refunds are available after the 3-day cancellation window.
• Refunds will not be issued if a member fails to fulfill their obligations (e.g., not providing required information for membership incentives).

5. Advertising and Rankings

Members may purchase advertising options to enhance their visibility on the directory. Rankings may be influenced by advertising agreements, and this will be disclosed transparently. Advertising may be marked as “Sponsored” or “Promoted” to ensure clarity for all users.

6. Intellectual Property

All content and information on the CNG Delivery Directory platform, including but not limited to text, graphics, logos, and software, are the property of CNG Delivery Directory or used with the express permission of the copyright owner. Members agree not to reproduce, duplicate, copy, or exploit any content from the platform without express written permission.

7. Feedback Policy

CNG Delivery Directory welcomes feedback from members but does not accept unsolicited creative ideas or suggestions. Any feedback provided becomes the sole property of CNG Delivery Directory, which reserves the right to use it without restriction or obligation to the member providing it.

8. Arbitration Agreement

All disputes, claims, or controversies arising out of or relating to this Agreement or your use of the services provided by CNG Delivery Directory shall be resolved exclusively through binding arbitration.

• Location: Arbitration will take place in Dallas County, Texas, in accordance with the rules of the American Arbitration Association (AAA).
• Waiver of Class Action: Members agree to waive any right to participate in a class or collective action.
• Rules/Standards Governing Arbitration: The arbitrator shall apply the statute of limitations and award remedies consistent with applicable laws.
• Costs: Each party shall bear their own costs, but if a member is unable to pay arbitration fees, CNG Delivery Directory may cover them.

9. Indemnification

Members agree to indemnify and hold harmless CNG Delivery Directory from any claims, damages, or liabilities arising from their use of the platform.

10. Liquidated Damages

Members agree to pay the following liquidated damages for any breach of this Agreement:

• $1,000 for each violation of the content guidelines.
• $100 per record for any use of computer programming routines that disrupt the platform.
• Actual damages for other breaches will be calculated based on reasonable estimates.

11. Delays and Service Interruptions

CNG Delivery Directory is not responsible for delays or service interruptions due to circumstances beyond its control, such as natural disasters, technical failures, or government actions.

12. Assignment Clause

Members may not assign or transfer this Agreement or any rights under it without prior written consent from CNG Delivery Directory.

13. Notices

All notices to CNG Delivery Directory should be sent to info@cngdelivery.com. Notices to members will be sent via the contact details provided during registration.

14. Governing Law

This Agreement is governed by the laws of the State of Texas, without regard to its conflict of law provisions.

15. Severability

If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will continue in full force and effect.

16. Waiver

Failure by either party to enforce any provision of this Agreement does not constitute a waiver of the right to enforce it later.

18. Entire Agreement

This Agreement constitutes the entire agreement between you and CNG Delivery Directory regarding the use of the platform and supersedes any prior agreements.
